By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility
You must be at least 18 years old and legally authorized to enter into contracts to use our Services. By using our platform, you represent and warrant that you meet these requirements.

2. Services Overview
StratEdge Global provides global workforce solutions, including:

• Employer of Record (EOR) services
• Managed Services Provider (MSP) solutions
• Resource augmentation and remote team deployment
• Compliance, payroll, onboarding, and HR support

All operational delivery is managed by our India-based affiliate under strict contractual and data protection safeguards.

3. Client Responsibilities
Clients agree to:

• Provide accurate and lawful information for onboarding and compliance
• Ensure that roles and compensation offered to candidates comply with applicable labor laws
• Not use our Services for unlawful, discriminatory, or fraudulent purposes

4. Data Protection
We process personal data in accordance with our Privacy Policy. By using our Services, you consent to the collection, use, and international transfer of data as described therein.

Key highlights:

• Data may be processed in India, the United States, and other jurisdictions
• We use Standard Contractual Clauses and other safeguards for cross-border transfers
• We comply with GDPR, CCPA, and India’s Digital Personal Data Protection Act, 2023

5. Intellectual Property
All content, trademarks, logos, and software on our platform are the property of StratEdge Global or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of our Services without prior written consent.

6. Payment Terms
Fees for Services are outlined in your client agreement or onboarding proposal. Unless otherwise agreed:

• Payments are due monthly in advance
• Late payments may incur interest or suspension of Services
• All fees are exclusive of applicable taxes

7. Termination
We may suspend or terminate access to our Services if:

• You breach these Terms or applicable laws
• You fail to pay fees or cooperate with compliance obligations
• We reasonably believe your use poses a risk to our platform or reputation

You may terminate your engagement by providing written notice in accordance with your service agreement.

8. Limitation of Liability
To the maximum extent permitted by law, StratEdge Global shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Errors caused by third-party platforms or integrations

Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim.

9. Indemnification
You agree to indemnify and hold harmless StratEdge Global and its affiliates from any claims, damages, or liabilities arising from your use of the Services, violation of these Terms, or breach of applicable laws.

10. Governing Law
